These Affiliate Terms & Conditions ("Affiliate Terms") govern your participation in the CloseDaily Affiliate Program ("Program"). By applying to or participating in the Program, you agree to be bound by these Affiliate Terms in addition to the CloseDaily Terms of Service and Privacy Policy.
The Program is open to individuals and entities who:
CloseDaily reserves the right to accept or reject any application at its sole discretion, and to revoke acceptance at any time.
Rate: Approved affiliates earn a 20% recurring commission on net subscription revenue generated by referred customers.
Recurring: Commissions are paid monthly for as long as the referred customer maintains an active, paid subscription. If a referred customer downgrades, the commission adjusts to 20% of the new plan price.
Attribution: Referrals are tracked via your unique affiliate link and a 90-day first-click cookie. The first affiliate whose link a customer clicks receives credit for the referral, provided the customer subscribes within 90 days of that click.
Exclusions: Commissions are not earned on free trial periods, refunded payments, chargebacks, add-on purchases (unless explicitly stated), or accounts created through other marketing channels.
Schedule: Commissions are calculated at the end of each calendar month and paid by the 15th of the following month.
Methods: Payments are made via PayPal or direct bank transfer (ACH), as selected in your affiliate dashboard.
Minimum Payout: A minimum balance of $50 USD is required for payout. Balances below $50 roll over to the next month.
Tax Responsibility: You are solely responsible for reporting and paying all taxes on affiliate commissions. US-based affiliates earning $600 or more annually will receive a 1099 form. You must provide accurate tax information (W-9 or W-8BEN) upon request.
Currency: All commissions are calculated and paid in US Dollars (USD).
As a participant in the Program, you agree to:
The following activities are strictly prohibited and will result in immediate termination and forfeiture of unpaid commissions:
Limited License: CloseDaily grants you a limited, non-exclusive, non-transferable, revocable license to use CloseDaily's name, logo, and approved marketing materials solely for promoting the Program.
Restrictions: You may not modify, alter, or create derivative works from CloseDaily's trademarks, logos, or marketing materials. You may not use CloseDaily's intellectual property in any way that implies endorsement, sponsorship, or affiliation beyond your role as an affiliate.
Ownership: All CloseDaily trademarks, trade names, logos, domain names, and copyrighted materials remain the exclusive property of CloseDaily. Nothing in these Affiliate Terms transfers any intellectual property rights to you.
Term: These Affiliate Terms are effective upon your acceptance into the Program and continue until terminated by either party.
Voluntary Termination: Either party may terminate participation at any time with written notice (email is sufficient). Upon voluntary termination, earned and unpaid commissions above the minimum threshold will be paid on the next regular payment cycle.
Termination for Cause: CloseDaily may immediately terminate your participation for violation of these Affiliate Terms, the CloseDaily Terms of Service, or any applicable law. In cases of fraud, cookie stuffing, or other prohibited activities, CloseDaily reserves the right to withhold all unpaid commissions.
Effect of Termination: Upon termination, your affiliate links will be deactivated, your license to use CloseDaily intellectual property ends immediately, and you must remove all CloseDaily marketing materials from your channels within 14 days.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, CLOSEDAILY SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR PARTICIPATION IN THE PROGRAM. CLOSEDAILY'S TOTAL LIABILITY SHALL NOT EXCEED THE TOTAL COMMISSIONS PAID TO YOU IN THE 12 MONTHS PRECEDING THE CLAIM.
You agree to indemnify and hold harmless CloseDaily, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorney's fees) arising from your participation in the Program, your promotional activities, or your violation of these Affiliate Terms.
You are an independent contractor. Nothing in these Affiliate Terms creates a partnership, joint venture, employment, or agency relationship between you and CloseDaily. You have no authority to bind CloseDaily or make commitments on its behalf.
CloseDaily may modify these Affiliate Terms, commission rates, or Program structure at any time. Material changes will be communicated via email at least 30 days before taking effect. Continued participation after changes take effect constitutes acceptance. If you do not agree with modifications, your sole remedy is to terminate your participation.
These Affiliate Terms are governed by the laws of the State of Tennessee, without regard to conflict of law principles. Any disputes shall be resolved through binding arbitration in the State of Tennessee in accordance with the rules of the American Arbitration Association.
